NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING.  VALID IN WASHINGTON, CALIFORNIA, IDAHO, OREGON, NEVADA, PENNSYLVANIA, NEW JERSEY, MARYLAND, OHIO AND DELAWARE. VOID WHERE PROHIBITED.

1. Grocery Outlet: The Win Groceries for a Year Sweepstakes (“Sweepstakes”) is sponsored by Grocery Outlet (“Grocery Outlet”).

2. PRIVACY: All information submitted to Grocery Outlet as part of this Sweepstakes will be treated in accordance with the privacy policy located at www.groceryoutlet.com/privacy.   If you live in California, The California Consumer Privacy Act (“CCPA”) provides California residents with rights to receive certain disclosures regarding the collection, use, and sharing of “Personal Information,” as well as rights to know/access, delete, and limit sharing of Personal Information. 3. ELIGIBILITY: To enter the Sweepstakes, you must, at the start of the Sweepstakes Period (defined below), (i) be a resident of Washington, California, Idaho, Oregon, Nevada, Maryland, New Jersey, Ohio, Pennsylvania or Delaware,  (ii) be 18 or older, and  (iii) be a registered member of the WOW! Crowd loyalty program or become a member of the WOW! Crowd loyalty program at any time during the sweepstakes (membership is free; see Section 4 for how to join). Employees of Grocery Outlet and employees of any independent operators, as well as their immediate families (parents, siblings, children, and spouses) and household members (whether related or not) are not eligible to participate in this Sweepstakes.  The Sweepstakes is subject to all applicable federal, state, and local laws and is void where prohibited.

4. How to Become a WOW! Crowd Member (Free): Download the Grocery Outlet (“GO”) Mobile App from the Apple App Store or Google Play and complete the free registration to receive your WOW! Crowd account and WOW! Card Number (loyalty member number). You may also go to www.groceryoutlet.com click sign up & save and complete the free registration. No purchase is required to register.

5. SWEEPSTAKES PERIOD: The Sweepstakes will begin on December 1, 2025 at 12:01 am Pacific Standard Time (PST) and end on December 31, 2025 at 11:59pm PST (“Sweepstakes Period”).

HOW TO ENTER: During the Sweepstakes Period, you may enter the Sweepstakes in one of two ways:

• In-Store at checkout (with “GO Mobile App”/WOW! Crowd members): At checkout enter your phone number into the point of sale pin pad or show your app to the cashier who will scan your app at your participating Grocery Outlet. Your purchase will automatically be entered into the drawing. It is your responsibility to ensure they enter their phone number into the pin pad or to ask the cashier to scan their WOW card at the time of transaction to receive sweepstakes entries. Neither the participating local retail store, nor Grocery Outlet can give a customer any sweepstakes entries after the customer’s transaction is complete. The number of sweepstakes entries you receive during the Win Free Groceries for a Year sweepstakes will vary based the date of your purchase, your purchase amount and items in your basket as follows:

• • • 1 sweepstakes entry for each regular purchase by a WOW! Crowd member
    • 2 sweepstakes entries for each regular purchase by a WOW! Insider
    • In addition, there may be opportunities throughout the promotion period to get bonus sweepstakes entries in a variety of ways:
      • Purchase that includes specific items or items from a specific department
      • Purchases of a specific value (e.g. over $50)
      • By chance from spinning a virtual wheel or scratch off in the Grocery Outlet mobile app
      • Special mobile app registration offers

Special bonus offers will be published on groceryoutlet.com, in the Grocery Outlet app and communicated via email, push notification or SMS for customers who have opted into marketing communications via these channels.

• Consult your GO Mobile App to review the number of entries you have completed for the month.
• Register and Enter Online Without a Purchase.  You can also enter without making a purchase by completing the sweepstakes entry form on our website (see below). First, you must become a WOW Crowd member (membership is free; see Section 4 for how to join). You may also go to www.groceryoutlet.com click sign up & save and complete the free registration. In order to see the entry form below, you must be signed into www.groceryoutlet.com using your phone number or email address associated with your WOW! Crowd membership. To complete the form, you will be required to enter your first and last name, email address, phone number, WOW! Crowd number as well as the state of which you are a resident. Online entries via the sweepstakes form below are considered to be received on the date you submit your entry successfully.

NOTE: Except for New Enrollments, there is a limit of one transaction (your first per day) per person per day that is eligible for sweepstakes entries during the Sweepstakes Period, regardless of whether you enter in store at checkout or by completing the entry form online without making a purchase. Entries must also comply with the “Entry Requirements” described below.

6. ENTRY REQUIREMENTS: Ineligible entries include entries that fail to comply with these Official Rules, as well as those that contain any inappropriate content (e.g., any obscene or harassing language written on an entry) or content that is generally not within the spirit of the Sweepstakes. We will have sole discretion in determining whether an entry violates the Official Rules, including these Entry Requirements.

7. SELECTION AND NOTIFICATION OF THE PRIZE WINNER:

On or about January 10, 2025, we will randomly select five (5) potential winners from among all eligible entries received during the Sweepstakes Period.

You do not need to be in attendance at the drawing in order to be eligible to win. Following the drawing, the potential winner will be notified by email (if provided by you), text or in app notification. Potential winners may subsequently be required to submit a mailing address and/or phone number. If a potential winner does not submit any requested contact information as instructed within a forty-eight (48) hour period from when the notification is sent then such person may be disqualified and an alternate potential winner may be selected by random drawing, if time permits.

NOTE: Potential winners are subject to verification by Grocery Outlet, whose decisions are final and binding in all matters related to the Sweepstakes. An entrant is not a winner of any prize unless and until entrant’s eligibility has been verified and entrant has been notified that verification is complete.

8. PRIZE AND APPROXIMATE RETAIL VALUES (“ARV”): There will be multiple prized awarded as follows:
   • There will be one (1) prize of Free Groceries for a Year, in the form of twelve (12) $500 Gift Cards. Approximate Retail Value (“ARV”) = $6,000.
   • There will be four (4) prizes of Free Groceries for a Month, in the form of one (1) $500 Gift Card. Approximate Retail Value (“ARV”) = $500.
   • Tax Reporting: As required by law, Grocery Outlet will issue an IRS Form 1099 to any winner whose cumulative prize ARV is $600 or more. Winner will be required to complete and return an IRS Form W‑9 and any other tax or eligibility documents prior to prize award.

Except as set forth herein, prizes are non-transferable, non-substitutable, may not be redeemed for cash, and are non-devisable in whole or in part. Grocery Outlet reserves the right to substitute prize of equal or greater value. Grocery Outlet is not responsible for inability of winner to accept or use prize and prize may be forfeited in whole or in part if winner declines, or cannot accept or use, the prize, any part of prize, or any remaining portion of the prize.

Odds of winning the prizes depend on the number of eligible entries received during the Sweepstakes Period at the time of the drawing. No transfer, substitution or cash equivalent for prize is allowed, except at our sole discretion. Grocery Outlet reserves the right to substitute a prize, in whole or in part, of equal or greater monetary value if the prize or any portion of the prize cannot be awarded, in whole or in part, as described for any reason.  Actual prize may differ from any promotional images.

9. DISQUALIFICATION: If an entrant is found to be ineligible, or if he/she does not comply with the Official Rules, then such entrant will be disqualified. If a prize, prize documentation or prize notification is returned as undeliverable or unclaimed, this will result in disqualification. In the event a potential winner is deemed ineligible or disqualified, then an alternate potential winner may be selected via a random drawing from the remaining pool of eligible entries received during the relevant month, if time permits.

10. LICENSE: By entering the Sweepstakes and/or accepting a prize, participants will sign a release stating that they will grant to Grocery Outlet Inc., its agents, licensees, affiliates, successors and assigns (“Company”), the irrevocable right, without limitation, throughout the world in perpetuity to video, film, use, publish, and copyright my image, name, likeness, city, state, information, voice, comments, picture, portrait, and/or photo, in whole or in part, in any and all media now known or hereinafter developed worldwide without territorial, time or other use limitation, for any purpose, including without limitation, for the purposes of promoting, advertising, publicity, social media, or trade and other purposes in connection therewith, including, but not limited to, Grocery Outlet’s website(s), social media account(s),  and all known television, radio, internet, cable type media as well as any and all other media.

11. SWEEPSTAKES CONDITIONS: By entering, you agree: (a) to be bound by these Official Rules and any other documents required by Grocery Outlet, any decisions of Grocery Outlet, and to waive any right to claim ambiguity in this Sweepstakes, the Official Rules or any other documents required by Grocery Outlet, (b) to indemnify, defend and hold harmless Grocery Outlet and its employees, officers, directors, shareholders, representatives, agents, parent companies, affiliates, franchisees, subsidiaries and agencies (collectively, “Released Parties”), from and against any and all liability, claims, losses, damages, demands, causes of action, penalties and expenses arising out of or related to any statement, action or failure to act by you during or in connection with your participation and/or any breach or alleged breach of these Official Rules or of any other documents required by Grocery Outlet and, (c) not to sue and to hereby irrevocably and unconditionally release, discharge and hold harmless the Released Parties from any and all liabilities, claims and demands of any kind or nature whatsoever, in law or equity, whether known or unknown, which you (or your successors-in-interest, heirs and/or agents) ever had, now have, or in the future may have against the Released Parties, including, but not limited to claims arising out of or related to personal injury (including death) and/or damage, theft, loss or any other harm, resulting in whole or in part, directly or indirectly, from (i) participation in the Sweepstakes or any Sweepstakes related activity, (ii) the acceptance, possession, misuse or use of the prize, (iii) the use of any of the rights granted herein (including, without limitation, the use and exploitation of your entry, name, address [city and state], biographical information, statements, voice, photograph, and/or other likeness), (iv) any malfunction or other problem with any Sweepstakes website or webpage, (v) any error in the collection or retention of entry information, and (vi) any typographical or other error in the printing, offering or announcement of any prize.

12. LIMITATIONS OF LIABILITY: The Released Parties are not responsible for illegible, lost, late, stolen, deleted, misdirected, undeliverable or incomplete entries; any typographical, system or human errors and failures; or any malfunction of any Sweepstakes website or webpage or error in the collection, processing or retention of entry information. Proof of transmission does not constitute proof of entry.

WITHOUT LIMITING THE FOREGOING, AND EXCEPT WHERE PROHIBITED BY LAW, EVERYTHING REGARDING THIS SWEEPSTAKES, INCLUDING THE PRIZE, IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13. TERMINATION/SUSPENSION/MODIFICATION OF SWEEPSTAKES: If for any reason this Sweepstakes is not capable of running as planned, including, but not limited to, any tampering or unauthorized intervention in the Sweepstakes or any other causes beyond the reasonable control of Grocery Outlet, we reserve the right in our sole discretion to terminate, modify or suspend the Sweepstakes and to select the winner(s) by conducting a random drawing from the eligible entries received during the relevant month at that point. We may also disqualify or prohibit an entrant from participating in the Sweepstakes or winning a prize if we determine that you have violated the Official Rules, have threatened or are attempting to undermine the legitimate operation of the Sweepstakes or has otherwise engaged in any behavior generally not within the spirit of the Sweepstakes.

14. DISPUTES: The Sweepstakes is governed by the laws of the State of California, without regard to any conflicts of law provisions. All disputes, claims or demands that relate to these Official Rules will first be brought to the attention of the other party and will be resolved individually, without resort to any form of class action.  The receiving party shall have sixty (60) days from the date of being notified to remedy the described issue and notify the complaining party in writing of the resolution.  If the dispute, claim or demand is not resolved to the satisfaction of the complainant within 60 days, the complainant may request an informal resolution conference (mediation), which if agreed to by the other party will be scheduled to occur within 21 days of the written response.  Each party shall have the right to be represented at such a conference by counsel and will ensure that a decision-maker with full and complete authority to resolve the dispute attends the conference.  Such conference will be in front of a third party mediator chosen by the parties.  If the parties do not agree to conference or are unable to resolve a dispute after such a conference, the parties agree that exclusive jurisdiction for any dispute, claim or demand related in any way to these Official Rules will be decided by binding arbitration.  All disputes between the parties, of whatsoever kind or nature arising out of these Official Rules, shall be submitted to JAMS for binding arbitration under its applicable rules then in effect, before one arbitrator to be mutually agreed upon by both parties.  The parties agree to share equally in the arbitration costs incurred.
